PROJECT DESCRIPTION

The Eco-Village developments are our first model of next generation housing, integrating nature, innovative, sustainable, futuristic design and programming, integrated with policy. These communities, the first of their kind, are designed to be right outside of city centers globally.

PARTICIPATION

Global locations are currently under review and assessment. As part of our business model to collaborate and crowdfund to involve as many people in our work and innovation, we follow the same model for these developments. We have opened this project to landowners to apply for participation.

Participation includes an Applicant and Site review and assessment to determine whether the applicant and property are eligible for our project requirements.

Land participation will be quantified based on property value and the project value. Further details will be shared upon eligible application assessment completion.

TERMS

General

  • Submitting an Application or Participation is not buying in or owning equity in the company, it's work, or any of its projects. It is a participation based on the terms and conditions and agreement to take place upon eligible application assessment completion for a project on that specific site.

  • A77 may close land participations at any time.

  • Land Participation Application fees are non-refundable.

  • These terms and conditions are subject to change without notice and are applicable to all participants.

  • Should additional agreements, checks or requirements be deemed needed by A77, Participants must comply with such to continue with their assessment and/or participation. Failure to do so may result in the termination of the assessment and/or agreement.

  • Failure to provide the required documents requested can result in the termination of assessment for your application.

  • Each Property is required to have a separate application, with their respective application fees.

  • Applications without complete payments will not be processed for assessment. 

  • Each site is unique to its respective conditions, upon completion of the initial assessment, it may be deemed that further site assessments are required. At such a point the choice to pursue the additional required assessments and their fees will be left to the Participant to decide. Failure to meet additional requirements to complete assessment will result in the termination of the application’s assessment.

  • Applying and payment of the application fee, and starting the assessment process does not constitute approval or selection. Upon successful selection at the end of the assessment process a letter will be issued stating so and an agreement will be negotiated, moving forward to the next phase.

Indemnification

You agree to indemnify and hold A77 Inc., and any current or future parent or subsidiary companies and all directors harmless against and in respect of any loss, damage, claim, cost or expense whatsoever, including any and all incremental out-of- pocket costs, including, without limitation, all reasonable any such Claim relates to or arises out of or in connection with the following matters:

  • any misrepresentation or breach of any warranty, agreement, covenant or obligation.

  • any reassessment for income, corporate sales, excise or other tax.

  • your obligation to indemnify A77 Inc. for any loss, damage, claim, cost or expense shall survive the termination of this Agreement.

  • Should a dispute arise you agree to binding arbitration.

FURTHER ASSURANCES

Each Party agrees that upon the written request of any other Party, it will do all such acts and execute all such further documents, conveyances, deeds, assignments, transfers and the like, and will cause the doing of all such acts and will cause the execution of all such further documents as are within its power to cause the doing or execution of, as the other Party may from time to time reasonably request be done and/or executed as may be required to consummate the transactions contemplated under this Agreement or as may be necessary or desirable to effect the purpose of this Agreement or any document, agreement or instrument delivered under this Agreement and to carry out their provisions or to better or more properly or fully evidence or give effect to the transactions contemplated under this Agreement.

Entire Agreement

This Agreement and the documents required to be delivered hereunder, constitute the entire agreement between the Parties relating to the subject matter hereof and supersede all prior agreements, understandings, negotiations and discussions, whether oral or written. There are no representations, warranties, conditions, covenants or other agreements, express or implied, collateral, statutory or otherwise, between the Parties in connection with the subject matter of this Agreement, except as specifically set forth herein and therein.

 

Amendment and Waiver

This Agreement may be amended without notice by A77. Any waiver of any provision of this Agreement will be effective only if it is in writing and signed by the Party to be bound thereby, and only in the specific instance and for the specific purpose for which it has been given. No failure on the part of any Party to exercise, and no delay in exercising, any right under this Agreement will operate as a waiver of such right. No single or partial exercise of any such right will preclude any further or other exercise of such right.

 

Severability

If any provision of this Agreement is determined to be invalid, illegal or unenforceable by an arbitrator, that provision will be severed from this Agreement, and the remaining provisions will remain in full force and effect.

 

Assignment and Benefit of the Agreement

Neither this Agreement nor any of the rights or obligations under this Agreement are assignable by either Party without the prior written consent of the other Party. Subject to that condition, this Agreement will endure to the benefit of and be binding upon the Parties and their respective heirs, executors, administrators, legal representatives, successors and permitted assigns.

Confidentiality

The Participant shall keep confidential all confidential technology and any other confidential information (unless readily available from public or published information or sources or required to be disclosed by law). If this Agreement is terminated without completion of the transactions contemplated herein then, promptly after such termination, all documents, work papers and other written material obtained in connection with this Agreement shall be returned by the Participant to the Company.

 

Counterparts and Electronic Execution

This Agreement may be executed in any number of counterparts each of which will be deemed to be an original, and all of which taken together will be deemed to constitute one and the same instrument. This Agreement may be executed and delivered by electronic means and each of the Parties may rely on such electronic execution as though it were an original hand-written signature.

MORALITY

Participants shall not commit any act or do anything which might reasonably be considered:

(i) to be immoral, deceptive, scandalous or obscene; or

(ii) to injure, tarnish, damage or otherwise negatively affect the reputation and goodwill associated with A77 Inc., any current or future parent or subsidiary companies it may have, along with their Representatives and Key Personnel, Eco-Villages and any other projects.

Participants in violation of this shall:

(i) have their assessment terminated should violation take place before the participation finalization and agreement.

(ii) be immediately suspended and participation terminated from the Agreement, in addition to any other rights and remedies that A77 Inc., and any current or future parent or subsidiary companies may have hereunder or at law or in equity.

(iii) obligations to them from A77 Inc, and any current or future parent subsidiary companies are null and void, with any costs of such termination deducted from their participation.

TERMS & USE

These Terms & Conditions and Code of Conduct are the sole property of A77 Inc. and current or future parent companies, and are not to be copied or reused in any form by any unauthorized party. Unauthorized use is strictly prohibited and is in violation of our Terms & Conditions and Code of Conduct.

Terms & Conditions and Code of Conduct recognizes A77 Inc. and any current or future parent and or subsidiary companies it may have.
